MDanywhere enters Letter of Intent to merge with MobiHealth

Baltimore 20 September 2004MDanywhere Technologies Inc., an award-winning, emerging health care information solutions provider of state-of-the-art Web-based technologies for hospitals and physicians practices, has signed Articles of Agreement with MobiHealth Inc., a provider of wireless clinical solutions and premier technology firm offering mobile solutions to the health care industry, to merge the two organisations.

Under the terms of the Agreement, MDanywhere's current management team will assume the responsibility of managing the combined entity, which will continue to be known as MDanywhere Technologies Inc., and will operate MobiHealth as a Division of MDanywhere Technologies Inc. The parties are seeking to complete the transaction with a definitive agreement, effective October 1, 2004. The consummation of the transaction has been approved by both company's board of directors and the customary closing documentation and requirements are underway.

MDanywhere Technologies Inc. is a Maryland C-corporation, founded in 1999 and located in the Baltimore-Washington area.
